Vancouver, B.C., Canada (April 6, 2011) Clearlease.com Reports Asia’s economic growth will ease to just under 8 per cent for the next two years as the region continues a solid recovery, the Asian Development Bank said Wednesday, while warning that rising food prices threaten to send more people into poverty.

The Manila-based lender said the region’s economic recovery is still firm even though those growth rates are lower than the 9 per cent expansion in 2010, when an exceptionally strong rebound from the global financial crisis took place.

The region in the bank’s annual economic report — 45 developing or newly industrializing Asian economies, excluding Japan — is forecast to grow 7.8 per cent in 2011 and 7.7 per cent in 2012.

“Developing Asia, having shown resilience throughout the global recession, is now consolidating its recovery and rapid expansion in the region’s two giants — the People’s Republic of China and India — will continue to lift regional and global growth,” ADB Chief Economist Changyong Rhee said.

However, the bank warned that inflation remains one of Asia’s biggest challenges, with prices forecast to rise 5.3 per cent this year before tapering off to 4.6 per cent in 2012.

Asia’s developing countries are home to two-thirds of the world’s poor — about 600 million people — who tend to spend more of their incomes on food and will be hit harder by rising food prices.

“This widens income inequality and could potentially lead to social tensions,” the report said.

A weak U.S. economy, sovereign debt problems in countries that use the euro common currency and Japan ‘s recovery from the devastating March 11 earthquake and tsunami are other possible threats to growth, the ADB said.

Higher oil prices stemming from unrest in the Middle East could also undermine the region’s recovery, the bank said, while also noting that the leaking radiation crisis at a Japanese nuclear plant hit by the tsunami is raising concerns about nuclear generation as an energy source.

The ADB encouraged Asia’s emerging economies to forge so-called “South-South” links with other developing nations in the southern hemisphere to avoid relying on the wealthy industrialized West and Japan , whose economies remain weak after the 2008 global financial crisis.

In drawing up its forecast, the ADB assumes Japan ‘s economy will eke out modest growth of 1.5 per cent this year and 1.8 per cent in 2012.

Assuming Japan ‘s nuclear reactor crisis doesn’t deteriorate significantly, Rhee said the disaster’s long-term impact on growth would not be dire and may even nudge it higher as the country spends on reconstruction.

The impact on the rest of Asia would be mixed, as some countries benefit from higher exports of goods used in rebuilding, while others see less demand because of production disruptions.

East Asian economies including China, Hong Kong , Taiwan and South Korea will lead growth, expanding an overall 8.4 per cent in 2011 and 8.1 per cent in 2012.

The ADB said China’s economic expansion will continue to be driven by government investment in infrastructure and other fixed assets, although it will slow as stimulus spending falls and interest rates rise. Export growth will also slow as demand from major Western markets remains sluggish, the ADB said. China is forecast to grow 9.6 per cent in 2011 and 9.2 per cent in 2012, down from 10.3 per cent last year.

India’s economy, which grew 8.6 per cent in 2010, is forecast to expand 8.2 per cent in 2011 before strengthening to 8.8 per cent in 2012.

Southeast Asia, including Singapore, Thailand, Malaysia and the Philippines, will grow 5.5 per cent in 2011 and 5.7 per cent in 2012. Indonesia and Vietnam are expected to expand more than 6 per cent for the two-year period.

The deal also completes P&G’s exit from all its major food businesses. The maker of Tide and Pampers has sold off Folgers coffee, Jif peanut butter, Crisco Shortening and Sunny Delight drinks in recent years.

Diamond was known mostly for its nuts when it started out. But a series of acquisitions has steadily broadened its array of snacks. It picked up Pop Secret in 2008 and Kettle last year.

The deal is structured to create a new company under the Diamond Foods name. P&G shareholders will get about 57 per cent of the combined company, while Diamond shareholders will own about 43 per cent.

Diamond said Tuesday that the Pringles transaction will more than triple the size of its snack business and help bring its annual revenue to about $2.4 billion.

The San Francisco company’s stock (Nasdaq:DMD) gained $6.25, or 11 per cent, to $63.47 in early trading Tuesday.

“Pringles is an iconic, billion-dollar snack brand with significant global manufacturing and supply chain infrastructure,” Diamond Chairman, President and CEO Michael J. Mendes said in a statement.

Diamond says the addition of Pringles will more than double its snack sales in the U.S. and U.K., which are Pringles’ two biggest markets. It will also give Diamond a greater presence in U.S. grocery, drug, mass merchandise and convenience stores.

The Pringles brand is more than four decades old and is sold in more than 140 countries, with manufacturing plants in the U.S., Europe and Asia.

The deal includes $1.5 billion in Diamond stock and the assumption of $850 million of debt. The combined business, whose headquarters will stay in San Francisco, will be led by Diamond’s Mendes.

Procter & Gamble said the Pringles deal will likely be part of a “split-off” transaction in which stockholders can choose to take part in an exchange offer, swapping Procter & Gamble shares for Diamond stock.

The debt that Diamond assumes could vary based on movements in its stock price before the deal closes. The debt amount could increase by up to $200 million or be reduced by up to $150 million based on the mechanism.

The deal will give Procter & Gamble a one-time earnings boost of about $1.5 billion, or 50 cents per share. Its shares (NYSE:PG) dipped five cents to US$62.21 in early trading Tuesday.

If the Pringles transaction closes before the end of the year, Diamond anticipates fiscal 2012 earnings per share between $3 and $3.10 per share on revenue of about $1.8 billion. The forecast excludes costs associated with the Pringles deal.

Diamond, which also makes Emerald nuts, expects about $100 million in one-time costs tied to the Pringles transaction over the next two years.

The deal, which still needs Diamond stockholder approval, is expected to close by the end of the year.

Dominion Lending Centres Clearlease Reports Air Canada (TSX:AC.B) board adopts shareholder rights plan in the case of takeover bid

Vancouver, B.C., Canada (April 1, 2011) – Clearlease.com Reports Air Canada’s board has adopted a shareholder rights plan to make a hostile takeover more challenging even though the airline says it’s not aware of anyone looking to buy the airline.

“The plan has not been adopted in response to any proposal or intention to acquire control of Air Canada, nor is Air Canada aware of any such effort, the company said in a news release ahead of issuing its proxy circular on Thursday.

The plan comes into effect immediately but must be ratified by shareholders at Air Canada’s (TSX:AC.B) next annual meeting on May 5. It will expire after the annual meeting in 2014, unless terminated early.

The country’s largest airline said the plan has been designed to ensure the fair treatment of all stockholders. It gives the board and shareholders more time to fully consider any takeover bid and to provide the board with more time to possibly pursue more lucrative alternatives.

Under the plan, one right will be issued to each Class A and Class B share. The rights would become exercisable only when a person or group acquires or announces its intention to buy 20 per cent or more of the outstanding shares in each class without approval of the board.

If the plan is triggered, rights holders would be able to purchase shares at a discounted price.

Chris Murray of PI Financial Corp. described the plan as a standard procedure and doesn’t believe any takeover bid is in the offing.

“This is just someone saying we should put one of these in place,” he said in an interview.

He said these plans are meant to protect minority shareholders from being squeezed out in a takeover bid.

Murray added that trying to take over the airline would face foreign ownership limits and extensive federal government review. And he doesn’t see anyone waiting in the wings at this time.

Casey’s General Stores (Nasdaq:CASY) successfully rebuffed a hostile bid from Quebec-based Alimentation Couche-Tard (TSX:ATD.B) last year after instituting one of the plans, known in financial slang as a “poison pill.”

According to Thomson Reuters, the top 31 owners of Air Canada control 38 per cent of the airline’s shares.

ACE Aviation Holdings (TSX:ACE.B), which was the majority owner of the airline after it was formed when Air Canada exited bankruptcy protection in 2004, is the largest shareholder with 31 million shares or 11 per cent. It earned $156 million from the December sale of 44 million Air Canada shares.

Its shares gained one cent at $2.44 Thursday afternoon on the Toronto Stock Exchange.
